Description
As Corporate Law Clerk, you will lead the general corporate maintenance of Northland global organizational structure and provide compliance and governance support to Northland and its domestic and foreign subsidiaries. Reporting to the Senior Legal Counsel & Assistant Corporate Secretary, you will be responsible for managing directly or through service providers, Northland's extensive corporate structure including maintenance of corporate records, corporate filings, preparation of resolutions and minutes, and providing support to the Northland Board of Directors as well as the Boards of its subsidiary entities.

This position will be based in our Toronto Head Office. Additionally, this role will be 4 days in office per week, with one flexible day available for employees to work from home.

Key Responsibilities

  • Manage the overall global corporate maintenance of Northland and its domestic and foreign subsidiaries, including the preparation and filing of articles, by-laws and amendments, limited partnership agreements, and maintaining director, officer, share and unit registers.
  • Oversee ongoing maintenance of corporate annual filings, including extra-provincial registrations, updating and renewing registrations, and maintaining required regulatory filings.
  • Provide support in administering meetings of Northland's Board of Directors, including setting Board calendars, drafting agendas and maintaining the third-party Board portal used to provide materials to directors.
  • Provide support to the Boards of Northland's subsidiary entities, which may include drafting minutes of board meetings and required resolutions, coordinating Board meetings and agendas, interacting with the directors, and relevant senior management in respect of board matters.
  • Prepare corporate documents to support transactions, financings and restructurings, including preparation of documents for incorporations, amendments, reorganizations, dissolutions, amalgamations, and equity contributions to subsidiaries.
  • Support Know Your Client requests, which includes interfacing with the internal Treasury department, lenders and auditors.
  • Contribute to implementing and maintaining Northland's centralized corporate records database.
  • Stay updated on industry and professional knowledge, ensuring adherence to mandates, laws, and procedures.
  • Collaborate with external counsel to ensure proper corporate maintenance of Northland and its subsidiaries.
  • Support other corporate governance, compliance and process initiatives and projects that may arise from time to time.

Qualifications and Experience

  • Ideally 5+ years of experience as a corporate law clerk in a law firm or in-house legal department, preferably with experience supporting a large organizational structure.
  • Expertise in corporate maintenance and governance matters related to both corporations and limited partnerships.
  • Proven ability to assess the implications and application of corporate legislation and regulatory compliance, and in particular the OBCA and CBCA.
  • Experience supporting Board meetings and drafting minutes and resolutions.
  • Experience supporting TSX-listed public companies is considered an asset, such as securities filings for public companies and their insiders.
  • Experience in supporting transactional work considered an asset.
