Position Description
Are you a passionate and highly engaged contracts attorney looking to make an impact? The electric industry is facing unprecedented growth to meet the increasing power demands, largely driven by the data center/artificial intelligence industries and other projects with substantial energy requirements. We are committed to meeting this growth while simultaneously transitioning to renewable resources consistent with our Integrated Resource Plan (https://www.tep.com/2023-irp/). To meet these and other ambitious goals, such as enhancing the efficiency of our contract lifecycle management process, we are seeking a creative and dedicated individual to join our commercial transactions team. 

We are seeking a commercial transactions generalist attorney with a background in negotiating contracts and managing commercial transactions.  This role offers an exciting opportunity to work on a diverse array of challenging contracts and projects. The successful candidate will have between 4 - 8 years of transactional experience and will provide legal services required by Tucson Electric Power Company and its affiliates (collectively "Company").

Experience with utility-specific transactions is a plus, but is not required; we have a track record of successfully training attorneys that come from other industries.

Location: The position will be based out of the Company's headquarters, located in downtown Tucson, Arizona, and will be subject to the Company's hybrid work policy, which currently allows some remote work flexibility.

Key Responsibilities

  • Draft various legal instruments, which may include regulatory filings, contracts, lease and purchase and sale agreements, and real property instruments.
  • Participate in all aspects of Company commercial transactions, including conducting appropriate due diligence, drafting, reviewing, and negotiating a variety of contracts such as master service agreements and statements of work; power purchase agreements; engineering, procurement and construction contracts; and other utility-related contracts.
  • Provide legal counsel and advice to multiple client groups and management of a wide range of commercial transactions and general corporate matters.
  • Provide compliance oversight, monitoring of compliance activities, and assist in the development of policies, procedures and controls to ensure compliance, including working directly with the Company's Compliance and Ethics Department as needed.
  • Perform legal monitoring, investigation, and research and analysis of the Company's factual and legal position on various matters, including consideration of applicable law, litigation strategy, risk mitigation and other methods for protecting the Company's interests.
  • Assist in the development and implementation of contract management processes and best practices. Develop and maintain contract templates, forms, and clauses.
  • Communicate and collaborate professionally and effectively with people throughout the Company to achieve Company objectives and foster positive relationships.  Work closely with internal teams on commercial transactions and various projects.
  • May perform project leadership functions to coordinate, develop, and present the Company's position on a variety of matters.
  • Work with and manage outside legal counsel and consultants and associated budgets when specialized expertise is required.
  • May supervise, provide direction to, review and evaluate performance of other staff in department. If supervisory responsibilities are assigned, the attorney is also required to:
  • Ensure that the Company's management principles, policies and programs are consistently practiced and continually support the Company's mission, values and strategic initiatives.
  • Comply with and administer the terms and conditions of the applicable Employee Handbook and Code of Ethics and Business Conduct.
  • Ensure that the Company Performance Management program is administered uniformly and effectively with respect to those the attorney supervises.
  • May perform any other duties as assigned.
