Origination, evaluation, design, structuring and execution of US M&A transactions and disposals. The role covers potential transactions in support of National Grid Ventures - NGV in the US (the business unit responsible for new business development outside of the regulated core), as well as US core business evolution. The role is also responsible for partnering with the US NGV P&L leads in evaluation and commercial execution of business development and other investment opportunities. Finally the role acts as an analytical partner to the Group Strategy function.To provide crucial analytical and transaction process support to initiatives, including origination, evaluation, design, structuring and execution of global mergers and acquisitions transactions and disposals.
Key Accountabilities
- Corporate Development and US M&A:
- The team originate, design and execute both buy-side (M&A) and sell-side (disposal) opportunities.
- Origination of US M&A investment opportunities through engagement across business/investor communities and through the investment banking network
- Evaluation of target businesses for acquisition including the development of financial models,design and structuring of transactions, and the assessment of the transaction impact on the National Grid group
- Marshalling external advisors including Investment Banks and specialist internal contributors (e.g., Financial Control, Treasury, Group Tax) as necessary
- Preparation of investment case papers and analysis for Investment Committee / National Grid Board
- In deal execution phase, the role will take day to day leadership of smaller transactions; for major deals, the role will be expected to lead substantial workstream(s)
- Execution through the due diligence, bid, negotiation and completion phases will require marshalling of a wider indirectly reporting team including internal and external legal specialists, accountants, technical and other experts
- Reporting of progress against key milestones, issues, opportunities and risks to the relevant governance body for the deal
Market scanning and intelligence - be the focal point for National Grid with Investment Banks and Pension, Sovereign Wealth and Infrastructure Funds. Develop and maintain strong relationships to help capture the best market intelligence and support origination of new opportunities
Partner with the NGV P&L leads - work closely with the US NGV Team to support development, evaluation, and commercial execution of investment opportunities, including financial modelling, preparation of investment cases to the Investment Committee and National Grid Board
Partner with the Group Strategy function - Partner and support Group Strategy on major analytical exercises, e.g. in relation to (a) Portfolio Analysis - the evaluation of continued ownership and investment versus exit from a line of business, and (b) overall group investment priorities -relative attractiveness of investment opportunities and portfolio allocation of scarce financial resources
Corporate activity - other reviews and studies as required by the Executive and Board e.g. bid defense and shareholder activism reviews together with other functions such as Investor Relations
Qualifications
- Bachelor's degree required (graduate degree preferred) or relevant professional qualification supplemented with relevant corporate finance and analytical training. Accountancy or equivalent qualification anticipated (or equivalent professional experience in relevant roles)
- At least 5 years professional experience in corporate M&A, investment banking, investment management, financial advisory or consulting roles. Exposure to fund raising, transaction and investment structuring is desirable
- A relevant financial qualification (e.g. Chartered Financial Analyst (CFA) or professional accounting qualification, preferably Chartered Institute of Management Accountants (CIMA)
- Proven track record of building and sustaining solid business relationships with senior internal and external stakeholders (clients and investors)
- Ability to lead and drive projects including leadership of both direct and indirect resources such as consultants, advisors with many spanning various areas of expertise (e.g. legal, commercial, technical, financial etc.)
- Strong team player working collaboratively across the organisation.
- Excellent written communications skills, in particular the ability to summarise complex issues and transactions in formal proposals
- In-depth industry knowledge (regulated assets and new energy, e.g. renewables, clean tech etc.) and an ability to clearly articulate and present opportunities to both senior stakeholders and potential partners
- Experience in leading and developing teams; foster an open and inclusive environment, support colleagues in their own development, and the wider development and training of team across the company
